Rautenberg & Company advises Mainova on the sale of shares in Mainova WebHouse.

Our team advised Mainova AG on the sale of 50.1% of its shares in Mainova WebHouse GmbH to a BlackRock Global Infrastructure fund. The sale of the shares is the result of a structured and competitive bidding process and was signed in June.

Mainova WebHouse specialises in the development, construction and operation of particularly sustainable and efficient data centres in Frankfurt and the Rhine-Main region. In addition to a data centre already under construction in Frankfurt's Ostend district, expected to go into operation in 2024, the pipeline includes data centre projects with a total IT load of over 200 MW.

Mainova is the leading energy service provider in Frankfurt am Main and energy partner for private and corporate customers throughout Germany. The company supplies more than one million people with electricity, gas, heat and water and generated adjusted sales of almost 5.8 billion euros in 2023 with around 3,200 employees.

BlackRock is the world's largest asset manager that supports the sustainable growth of its infrastructure projects as a long-term partner. BlackRock's Diversified Infrastructure team particularly invests along the three structural megatrends of decarbonisation, digitalisation and decentralisation.

Mainova and BlackRock intend to significantly expand the presence of Mainova WebHouse in the region and thus further advance digitalisation and local value creation. Both partners are jointly providing the capital required for this.

Together with Rothschild & Co, our team advised Mainova as M&A Lead Advisor and led the transaction from structuring to successful completion.
